Terms of Service

These Terms govern your use of Lexido, an iOS language-learning flashcard app published by Heltra LLC (“Lexido”, “we”, “us”). Please read them. If you don’t agree, don’t use the app.

1. Acceptance

By installing, opening, or using Lexido, you agree to these Terms and the Privacy Policy. You also agree to Apple’s standard end-user license terms for App Store apps. You must be at least 13 years old to use Lexido.

2. What Lexido is

Lexido is a flashcard study tool that uses spaced repetition (FSRS-5) and AI-generated content to help you learn a language. We do not guarantee fluency, exam passage, or any specific learning outcome. The app is a tool; the work is yours.

3. Subscriptions (Lexido Pro)

Lexido Pro is sold as an in-app subscription through the App Store.

• Pricing is shown in the app at the time of purchase.
• Pro starts with a 7-day free trial on first subscribe. Apple charges the regular price the moment the trial ends unless you cancel.
• Subscriptions auto-renew until you cancel. Cancel in Settings → Apple ID → Subscriptions at any time.
• Refunds are handled by Apple, not by us.
• We may change Pro pricing or feature scope for new subscribers; we will not raise the price on an existing subscription without notifying you and giving you a chance to cancel.

4. Acceptable use

You agree not to:

• Reverse-engineer, decompile, or attempt to extract Lexido’s source code, except where allowed by law.
• Use Lexido to harass, abuse, defame, or harm anyone.
• Use AI-generation features to create content that infringes copyright, violates privacy, depicts minors in sexual or violent contexts, or that incites violence, hate, or self-harm.
• Resell, sublicense, or commercially redistribute generated content (sentences, audio, images) at scale or as part of a competing product.
• Attempt to circumvent rate limits, paywalls, or our backend in ways not enabled through the app’s normal UI.

Violating this section can result in termination of your access without refund.

5. Content you import

You can import Anki .apkg files. When you do:

• The contents stay on your device only (see Privacy Policy for details).
• You are responsible for ensuring you have the right to import the deck. Most Anki community decks are free for personal use; some are licensed for non-commercial personal use only; some are proprietary.
• You retain whatever rights you already had in the imported content. We do not claim ownership.

DMCA takedown. If you believe content distributed by Lexido (e.g. a deck shared via our curated catalog) infringes your copyright, send a notice to our designated agent:

Your notice should include: (a) your physical or electronic signature, (b) identification of the copyrighted work claimed to be infringed, (c) the URL or location of the allegedly infringing material in Lexido, (d) your contact information, (e) a statement that you have a good-faith belief the use is not authorized, and (f) a statement under penalty of perjury that the information is accurate and you are the owner or authorized to act on the owner’s behalf. We respond to valid notices promptly and may remove the content and terminate the access of repeat infringers.

Our DMCA designated agent is registered with the U.S. Copyright Office at copyright.gov.

6. AI-generated content

Cards, sentences, images, and audio generated by Lexido’s AI features are produced by third-party language and image models (see the Privacy Policy for the list). Because the models are probabilistic:

• We make no warranty that generated content is accurate, idiomatic, culturally appropriate, or free of errors.
• We do not own AI-generated content; you are free to use it in your study. We also cannot guarantee that the underlying models’ outputs are free of third-party rights claims, so use at your own discretion if you intend to redistribute.
• We may revise or regenerate cached content at any time.

7. Our intellectual property

The Lexido name, logo, app design, source code, and the curated catalog (where original to us) are owned by Heltra LLC and protected by copyright and trademark law. We grant you a personal, non-transferable, revocable license to use the app on devices you own or control while you comply with these Terms.

8. Third-party content and decks

Some decks in Lexido’s curated catalog come from third parties (e.g. Kaishi 1.5k under CC BY-SA, Tofugu’s mnemonic decks under their own licenses). Those licenses apply on top of these Terms. Where a license requires attribution, the deck’s description in the app contains it.

9. Disclaimer of warranties

Lexido is provided “as is” and “as available” without warranties of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, accuracy of language content, or non-infringement. We do not warrant that the app will be uninterrupted, error-free, or that any defect will be corrected.

10. Limitation of liability

To the maximum extent permitted by law, Heltra LLC, its officers, and contractors are not liable for any indirect, incidental, consequential, special, or punitive damages arising from your use of Lexido, even if we have been advised of the possibility. Our aggregate liability for any claim arising out of or relating to Lexido is limited to the greater of (a) the amount you paid for Pro in the twelve months preceding the claim, or (b) USD 50.

11. Arbitration and class-action waiver

Please read this section carefully. It affects how disputes are resolved.

You and Heltra LLC agree that any dispute, claim, or controversy arising out of or relating to these Terms or your use of Lexido (each, a “Dispute”) shall be resolved by binding individual arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules, before a single arbitrator, in English, in a location reasonably convenient to you or by video conference. Judgment on the award may be entered in any court of competent jurisdiction.

You and Heltra LLC each waive the right to a jury trial and the right to participate in a class action, class arbitration, or representative action. Disputes must be brought on an individual basis only. If a court decides this class waiver is unenforceable as to a particular claim, that claim (and only that claim) must proceed in court and the rest must remain in arbitration.

Exceptions. Either party may bring an individual claim in small-claims court if it qualifies. Either party may seek injunctive relief in court to protect intellectual property or to stop unauthorized access.

Opt-out. You may opt out of this arbitration agreement within 30 days of first agreeing to these Terms by emailing support@getlexido.com with the subject line “Arbitration opt-out” and your Apple ID transaction identifier. Opting out does not affect any other provision.

12. Governing law

These Terms are governed by the laws of the State of Delaware, United States, without regard to its conflict-of-laws principles, except that the Federal Arbitration Act governs the arbitration provisions in Section 11. The United Nations Convention on Contracts for the International Sale of Goods does not apply.

13. Termination

You can stop using Lexido at any time by deleting the app. We can suspend or terminate your access to Lexido or to Pro features for material breach of these Terms (especially Section 4). Sections that by their nature should survive termination (IP, disclaimers, liability, arbitration, governing law) do.

14. Changes to these Terms

We may update these Terms when the app changes (new features, new AI providers, new data flows). If a change is material, we will notify you in the app or by updating the “Last updated” date prominently. Continued use after a change means you accept the new Terms.
